Sponsorship & Commercial Partner Terms
These Sponsorship & Commercial Partner Terms & Conditions (“Terms”) govern the purchase and use of advertising, sponsorship, and commercial partner placements on trustpadel.com (the “Platform”) by any brand, business, or organisation (“Sponsor”, “you”, or “your”) that purchases a Sponsorship Package, including homepage or page-level advertising, category or rankings sponsorship, newsletter or content placements, and founding or vertical partner packages.
These Terms apply in addition to, and do not replace, our Website Terms of Use, which continue to govern general access to and use of the Platform. If you also purchase a directory Listing, our separate Listing Terms & Conditions govern that Listing (see clause 19).
By signing an Order Form, ticking an acceptance box, or otherwise confirming a Sponsorship Package, you confirm that you have read, understood, and agree to be legally bound by these Terms.

2. Definitions and interpretation

- Sponsor / You / Your means the brand, business, or organisation purchasing or holding a Sponsorship Package.
- Platform means the Trust Padel website located at trustpadel.com, together with its databases, tools, and related digital services.
- Sponsorship Package means any paid advertising, sponsorship, or commercial partner placement on the Platform, including (without limitation) banner advertising, page or category sponsorship, rankings or newsletter placements, founding or vertical partner packages, and tiered annual partnership packages.
- Order Form means the proposal, insertion order, rate card confirmation, or other document agreed between the parties that sets out the specific Sponsorship Package, fees, Term, and any exclusivity purchased.
- Content means all creative, copy, logos, trademarks, and other material supplied by the Sponsor for use in connection with a Sponsorship Package.
- Term means the period for which a Sponsorship Package runs, as set out in the applicable Order Form.
Headings are for convenience only and do not affect interpretation.
3. Nature of the service
Trust Padel provides paid advertising, sponsorship, and commercial partner placements on the Platform to promote Sponsors to Trust Padel's users.
A Sponsorship Package is a marketing and promotional placement only. It does not constitute an endorsement by Trust Padel of the Sponsor's products or services, investment, financial, or other professional advice given by Trust Padel, or a recommendation that any user engage with the Sponsor.
Sponsorship Packages will be identified as advertising or sponsored content in a manner intended to comply with applicable advertising standards, including the CAP Code and ASA guidance.
Use of the word “Partner” in any package name (for example, “Founding Partner” or “Strategic Partner”) is a marketing description only and does not create a legal partnership, agency, employment, or joint venture between the Sponsor and Trust Padel.
4. Eligibility and authority
By entering into an Order Form, you confirm that you are operating a legitimate business and hold all licences, permissions, and regulatory approvals required to promote your products or services, including, where applicable, authorisation by the Financial Conduct Authority (“FCA”) or a valid exemption.
If you accept these Terms on behalf of a company or organisation, you confirm that you have authority to bind that entity.
5. Order forms, packages and fees
Each Sponsorship Package is purchased under a separate Order Form. The Order Form, together with these Terms, forms the agreement between the parties for that Sponsorship Package; in the event of any conflict, the Order Form takes precedence in respect of the commercial terms it sets out (fees, Term, exclusivity, and deliverables).
Unless the Order Form states otherwise: fees are exclusive of VAT; fees are payable in advance of the relevant Term or instalment; and fees are non-refundable, except where required by law.
Where an Order Form provides for renewal or step-up pricing linked to platform growth metrics (for example, registered user numbers), the revised fee applies from the renewal date set out in the Order Form; step-up pricing does not apply mid-Term.
Failure to pay fees when due may result in suspension or removal of the Sponsor's placement.
6. Term, renewal and termination
A Sponsorship Package runs for the Term set out in the applicable Order Form.
Unless the Order Form expressly provides for automatic renewal, a Sponsorship Package ends at the expiry of the Term and is not renewed automatically.
Trust Padel may suspend or terminate a Sponsorship Package immediately, and remove the Sponsor's placement, if: fees remain unpaid; the Sponsor's Content or conduct breaches these Terms or applicable law; or the Sponsor's business activities risk reputational harm to Trust Padel.
Upon termination, the Sponsor's placements will be removed and, save as required by law, no refunds will be issued in respect of the unexpired Term.
7. Exclusivity
Where an Order Form states that a Sponsorship Package is exclusive to a specified category, vertical, or placement, Trust Padel will not sell a competing Sponsorship Package within that same category, vertical, or placement to a third party for the duration of the Term, save as otherwise agreed in writing between the parties.
8. Sponsor content and approval
The Sponsor is responsible for ensuring its Content is accurate, lawful, and complies with all applicable advertising, consumer protection, and financial promotion laws and codes.
Where Content constitutes a “financial promotion” within the meaning of section 21 of the Financial Services and Markets Act 2000, the Sponsor warrants that the Content has been approved by an FCA-authorised person, or that a valid exemption applies, before it is submitted to Trust Padel. Trust Padel does not verify, and is not responsible for, the regulatory compliance of Sponsor Content.
Trust Padel may review, reject, or request amendment of any Content, and may remove or suspend any placement, at its discretion, including where required by law, by an advertising or financial regulator, or to protect the Platform's reputation.
Trust Padel is not responsible for errors in a placement arising from Content supplied by the Sponsor.
9. Sponsor obligations and warranties
The Sponsor warrants that:
- Its Content is accurate, lawful, and not misleading, and does not infringe the intellectual property or other rights of any third party;
- Its business complies with UK law, applicable industry regulations, and, where relevant, FCA rules and consumer protection law;
- It will not use the Platform to misrepresent its products or services, engage in spam, scraping, or data harvesting, or harm the reputation or operation of Trust Padel or its users.
10. Content licence and intellectual property
The Sponsor retains ownership of its Content, trademarks, and brand assets.
The Sponsor grants Trust Padel a non-exclusive, royalty-free licence to host, display, reproduce, and distribute its Content for the purpose of delivering the Sponsorship Package, and, where separately agreed in the Order Form, for related promotional purposes such as case studies or press announcements.
Trust Padel owns all rights in the Platform, including its design, software, and branding, and its own trademarks and logos.
11. Platform availability and changes
Trust Padel aims to maintain availability of the Platform but does not guarantee uninterrupted access.
Trust Padel may modify features or layouts, suspend access for maintenance, or discontinue parts of the Platform; such changes do not, of themselves, entitle the Sponsor to a refund, save where they materially and adversely affect a Sponsorship Package already purchased, in which case Trust Padel will act reasonably in agreeing a remedy with the Sponsor.
12. Performance and disclaimers
Sponsorship Packages are provided “as is”.
Trust Padel makes no warranty regarding traffic, impressions, click-through rates, leads, conversions, or other business outcomes generated by a Sponsorship Package, except to the extent expressly guaranteed in the applicable Order Form.
13. Limitation of liability
Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
Subject to clause 13.1, to the maximum extent permitted by law, Trust Padel shall not be liable for loss of profits, revenue, data, or goodwill, or for indirect or consequential losses, arising from a Sponsorship Package.
Subject to clause 13.1, Trust Padel's total liability under or in connection with a Sponsorship Package shall not exceed the fees paid by the Sponsor under the relevant Order Form in the twelve (12) months prior to the claim.
14. Indemnity
The Sponsor agrees to indemnify and hold harmless Trust Padel against all claims, losses, damages, and expenses arising from the Sponsor's Content, its business activities, or its breach of these Terms.
15. Confidentiality
Each party will keep confidential the commercial terms of any Order Form (including fees and any performance guarantees) and will not disclose them to third parties without the other party's prior consent, except as required by law, regulation, or to its professional advisers.
16. Data protection
Each party shall comply with UK GDPR and applicable data protection law. Personal data will be processed in accordance with Trust Padel's Privacy Policy.
17. Force majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control.
18. Changes to these Terms
These Terms may be updated from time to time. The latest version will always be available on the Platform and will display the “Last updated” date.
For an existing Sponsorship Package, material changes affecting fees, renewal, or termination rights will be notified to the Sponsor with reasonable advance notice; continued use of a Sponsorship Package, or renewal of one, after changes take effect constitutes acceptance of the updated Terms.
19. Relationship with other Trust Padel terms
These Terms apply in addition to, and do not replace, our Website Terms of Use, which continue to govern general access to and use of the Platform.
These Terms are separate from our Listing Terms & Conditions. A business may hold a directory Listing under the Listing Terms & Conditions and a Sponsorship Package under these Terms at the same time, as two separate agreements.
20. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
